Terms & Conditions
The following Terms and Conditions apply to all products and services provided by Grafiscape, including but not limited to interior branding, environmental graphics, wall graphics, glass manifestations, architectural films, decorative finishes, printed graphics, signage systems, wayfinding solutions, bespoke fabrication, design consultancy, site surveys, project management, manufacturing, delivery and installation services.
These Terms and Conditions govern every quotation, order, project and service undertaken by Grafiscape and, in the event of any dispute, shall be governed by the laws of England and Wales.
By accepting a quotation, issuing a purchase order, paying a deposit or instructing Grafiscape to proceed with any work, the Client confirms that they have read, understood and accepted these Terms and Conditions in full.
Unless otherwise agreed in writing, all goods, products, artwork, concepts, technical drawings, visualisations, manufacturing files and other intellectual property produced by Grafiscape remain the property of Grafiscape until all outstanding invoices relating to the project have been settled in full.
Project Acceptance
All quotations issued by Grafiscape remain valid for a period of thirty (30) days from the date of issue unless otherwise stated in writing. Acceptance of a quotation must be confirmed by an official purchase order or written confirmation by email. Such acceptance constitutes agreement to these Terms and Conditions and forms the contract between the Client and Grafiscape.
No design work, procurement, manufacturing or installation scheduling will commence until written acceptance has been received together with any required deposit payment.
Quotations including installation, bespoke fabrication or site-specific works may be subject to a site survey, verification of dimensions or confirmation of existing site conditions. Grafiscape reserves the right to amend the quotation where information supplied prior to survey is found to be inaccurate or incomplete.
Should the Client request work to commence before a survey has been completed, Grafiscape cannot accept responsibility for additional costs arising from unforeseen site conditions, inaccurate dimensions or installation constraints.
Design, Artwork & Creative Services
Grafiscape provides design, artwork, visualisation and creative services as part of many projects. Unless otherwise agreed, all concepts, layouts, visualisations, drawings and artwork produced during the design process remain the intellectual property of Grafiscape.
Artwork supplied by the Client should be provided in production-ready formats wherever possible. Vector artwork should be supplied as AI, PDF or EPS files. Raster images should be supplied in the highest available resolution. Grafiscape cannot accept responsibility for reduced print quality resulting from unsuitable, low-resolution or incorrectly prepared artwork supplied by the Client.
Where artwork recreation, logo redraws, image enhancement, vectorisation, copywriting, photography or other creative work is required, additional charges may apply unless specifically included within the quotation.
The Client confirms that all logos, images, fonts, trademarks, illustrations and other materials supplied to Grafiscape are owned by the Client or are appropriately licensed for commercial use. Grafiscape accepts no responsibility for copyright infringement, trademark disputes or intellectual property claims arising from materials supplied by the Client. The Client agrees to indemnify Grafiscape against any claims, losses, damages or legal costs resulting from the unauthorised use of third-party intellectual property.
Digital proofs, artwork layouts, visualisations or material samples will normally be provided for approval before production commences. It is the Client's responsibility to carefully review all artwork, including spelling, grammar, dimensions, colours, positioning, quantities, finishes and specifications prior to approval.
Written approval constitutes acceptance of every element shown on the proof. Once approval has been received, Grafiscape cannot accept responsibility for any errors, omissions or amendments subsequently identified by the Client.
Unless otherwise stated, quotations include up to three reasonable artwork revisions. Additional revisions, substantial design alterations or changes to the agreed project scope may incur additional design charges.
Any project durations, artwork schedules or production programmes provided during the design stage are estimates only. Whilst Grafiscape will make every reasonable effort to achieve agreed timescales, no liability shall arise from delays caused by extended approval periods, additional revisions, supplier lead times or circumstances beyond Grafiscape's reasonable control.
Project Pricing & Payments
All prices are quoted exclusive of VAT unless otherwise stated.
Orders with a value below £500 excluding VAT, together with supply-only orders, require full payment before work commences. Projects exceeding this value or including installation services will normally require a fifty percent (50%) deposit before design, procurement or manufacturing begins, with the remaining balance payable upon practical completion unless alternative payment terms have been agreed in writing.
Grafiscape reserves the right to invoice for completed stages of work where a project is delayed, postponed or suspended due to circumstances outside its reasonable control, including restricted access, incomplete building works, delays caused by other contractors, changes requested by the Client or any other event preventing completion of the agreed programme.
Invoices are deemed accepted unless the Client notifies Grafiscape in writing of any discrepancy within seven (7) days of the invoice date. Unless otherwise agreed, all invoices are payable immediately upon issue.
Approved commercial Clients may apply for a credit account. Approval, payment terms and credit limits are granted solely at Grafiscape's discretion and may be amended or withdrawn at any time.
Late payments may be subject to interest calculated in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the Bank of England Base Rate plus eight percent (8%), together with any reasonable recovery costs incurred.
Should any account remain unpaid beyond the agreed payment terms, Grafiscape reserves the right to suspend all ongoing design work, manufacturing, procurement, deliveries and installations until all outstanding balances have been settled. Any revised installation dates resulting from such suspension will be subject to availability.
Where completed goods cannot be delivered or installed due to delays caused by the Client, Grafiscape reserves the right to invoice for completed works and apply reasonable storage charges until delivery or installation can be arranged.
Project Variations
Quotations are prepared based on the information available at the time of pricing. Any alteration to the agreed specification, scope of works, materials, dimensions, installation requirements, programme or design following acceptance of the quotation may constitute a project variation.
Grafiscape reserves the right to revise pricing, production schedules and installation dates where variations affect the original scope of the project.
Additional work requested after artwork approval, commencement of manufacturing or installation may be subject to additional charges for design, materials, labour, procurement, logistics or project management.
Grafiscape cannot accept responsibility for delays arising from Client variations, additional approvals or revised specifications introduced after work has commenced.
Any variation requested verbally should be confirmed in writing before implementation. Grafiscape reserves the right not to proceed with any variation until revised costs and programme implications have been accepted by the Client.
Production & Manufacturing
Production will only commence following written approval of artwork and receipt of any required payment.
Every Grafiscape project is manufactured specifically to the agreed specification. Minor variations in colour, texture, sheen, print density, grain direction, pattern alignment, fabrication tolerances and material characteristics are inherent within the manufacturing process and shall not constitute defects.
Where projects utilise natural materials, architectural finishes, printed wallcoverings or decorative laminates, slight differences between production batches may occur.
Grafiscape will use reasonable endeavours to match approved artwork, samples and previous installations, however exact colour consistency cannot be guaranteed across different materials, manufacturing methods, lighting conditions or production dates.
Lead times provided by Grafiscape are estimates only and are subject to supplier availability, manufacturing capacity, transport, material availability and other circumstances beyond Grafiscape's reasonable control.
Grafiscape reserves the right to substitute equivalent materials where the specified product becomes unavailable, provided such substitution does not materially affect the overall appearance or performance of the completed installation.
Site Preparation & Installation
The Client is responsible for ensuring that the installation site is safe, accessible and suitably prepared before Grafiscape arrives on site. Installation areas must be clear of furniture, equipment, stored materials and any other obstructions that may prevent safe or efficient working unless otherwise agreed in writing.
Where Grafiscape is required to work alongside other contractors, the Client shall ensure that all preceding works have been completed to a suitable standard before installation commences. Grafiscape reserves the right to postpone installation if the site is not considered ready, safe or suitable for the agreed works. Any additional visits, labour, travel or project management resulting from incomplete site preparation or delays caused by third parties may be charged accordingly.
Unless specifically included within the quotation, the preparation of walls, ceilings, glass, flooring, electrical supplies or building structures remains the responsibility of the Client or their appointed contractors.
Where illuminated signage forms part of the project, an appropriate electrical supply must be installed by a qualified electrician before the agreed installation date unless otherwise stated within the quotation. Final electrical testing and certification remain the responsibility of the Client's appointed electrical contractor unless expressly included within Grafiscape's scope of works.
The Client is responsible for obtaining any permissions, licences, landlord approvals, planning consent or building management approvals required for the installation of graphics, architectural finishes or signage. Grafiscape accepts no liability for delays, enforcement action or costs arising from installations carried out without the appropriate permissions.
Where dimensions are supplied by the Client, Grafiscape accepts no responsibility for inaccuracies resulting from those measurements. Where Grafiscape carries out a site survey, measurements are based upon site conditions visible and accessible at the time of inspection. Concealed building defects, hidden services or inaccessible areas may not become apparent until installation commences.
Removal of existing graphics, manifestations, architectural films, signage, fixings, silicone, adhesives or decorative finishes is not included unless specifically stated within the quotation. Whilst every reasonable care will be taken during removal, Grafiscape cannot guarantee that existing paintwork, plaster, wall finishes, glass coatings or other substrates will remain undamaged.
Grafiscape accepts no responsibility for failures resulting from unsuitable existing surfaces. Paint failure, plaster failure, wall delamination, loose laminates, contaminated substrates, moisture ingress, unstable coatings or other pre-existing conditions that affect installation performance remain the responsibility of the Client.
Project Completion & Handover
Practical completion shall be deemed to have occurred when installation has been completed in accordance with the agreed quotation, or where supply-only orders have been delivered or made available for collection.
The Client should inspect all completed works upon completion of the installation and notify Grafiscape of any concerns as soon as reasonably practicable.
Any defects, omissions or snagging items should be reported in writing within seven (7) days of practical completion. Following this period, the works shall be deemed accepted unless a latent defect subsequently becomes apparent.
Where installation cannot be completed due to reasons outside Grafiscape's control, the completed proportion of works may be invoiced and deemed practically complete for payment purposes.
Goods awaiting collection or installation due to Client delays may be transferred into storage. Grafiscape reserves the right to charge reasonable storage fees for goods remaining uncollected or undelivered beyond fourteen (14) days following notification that they are ready.
Cancellations, Returns & Refunds
Cancellation requests must be submitted in writing.
Where cancellation occurs after work has commenced, the Client shall remain liable for all work completed, materials ordered, manufacturing costs incurred and any non-refundable third-party charges relating to the project.
As the majority of Grafiscape products are bespoke and manufactured specifically for each Client, cancellations after production has commenced cannot normally be accepted.
Returns cannot be accepted for bespoke or personalised products unless they are proven to be defective or incorrectly supplied.
The Client should inspect all deliveries upon receipt. Any visible transit damage should be recorded with the courier and reported to Grafiscape within forty-eight (48) hours.
Where Grafiscape accepts responsibility for a manufacturing or installation fault, Grafiscape shall, at its discretion, repair, replace or refund the affected element of the project. Such remedy shall constitute Grafiscape's entire liability.
Warranty & Aftercare
Grafiscape warrants that all products and installation workmanship will be free from manufacturing and installation defects for a period of twelve (12) months from the date of practical completion unless otherwise stated.
Where longer manufacturer warranties apply to specific materials or components, these shall remain subject to the relevant manufacturer's warranty conditions.
The warranty does not cover damage resulting from misuse, accidental impact, vandalism, environmental contamination, structural movement, moisture ingress, unsuitable cleaning methods, alterations carried out by third parties, failure to maintain the installation or use outside its intended purpose.
Grafiscape shall not be responsible for defects arising from unsuitable substrates, pre-existing building conditions or failures caused by other contractors or building movement after installation.
Maintenance guidance provided by Grafiscape should be followed throughout the life of the installation. Failure to follow recommended cleaning or maintenance procedures may invalidate the warranty.
Limitation of Liability
Grafiscape shall not be liable for indirect, consequential or economic loss including, but not limited to, loss of profit, loss of revenue, business interruption or reputational damage.
Grafiscape accepts no responsibility for delays caused by suppliers, manufacturers, transport providers, utility providers, local authorities, building management, adverse weather, industrial action or any other event outside its reasonable control.
Grafiscape's total liability arising from any project shall not exceed the total value of the relevant quotation or invoice.
Nothing within these Terms shall exclude liability for death, personal injury caused by negligence, fraud or any liability which cannot legally be excluded.
Marketing & Project Photography
Unless otherwise agreed in writing, Grafiscape reserves the right to photograph, film and document completed installations for use within its portfolio, website, social media channels, printed marketing materials, award submissions, editorial publications and other promotional activities.
Where projects contain commercially sensitive information, Grafiscape will take reasonable steps to avoid disclosure of confidential information.
General Provisions
Grafiscape reserves the right to refuse any project or artwork that it considers unlawful, offensive, defamatory, misleading or otherwise inappropriate.
Grafiscape may appoint suitably qualified subcontractors, manufacturers, installers or specialist consultants where necessary to fulfil the requirements of a project.
If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall remain in full force and effect.
These Terms and Conditions constitute the entire agreement between Grafiscape and the Client and supersede any previous agreements, representations or understandings unless otherwise agreed in writing.
Grafiscape reserves the right to amend these Terms and Conditions from time to time without prior notice. The version in force at the date of quotation acceptance shall apply to the relevant project.
